Terms of Service

These Terms of Service ("Terms") govern your use of the website, tools, software, AI features, consulting services, automation services, data analysis services, and related offerings provided by RedWorks LLC ("RedWorks," "we," "us," or "our").

By accessing or using our website or services, you agree to these Terms. If you do not agree, do not use our website or services.

Services

RedWorks provides AI, automation, software, workflow, data analysis, consulting, and related business services.

Some services may be governed by a separate Client Services Agreement, Statement of Work, proposal, invoice, subscription plan, or other written agreement. If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls.

Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our services.

If you use our services on behalf of a business, agency, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

No Professional Advice

RedWorks does not provide legal, tax, accounting, insurance, financial, underwriting, medical, employment, or regulatory advice unless specifically stated in a signed written agreement.

Any information, recommendations, workflows, automations, reports, analysis, or AI outputs are for business and informational purposes only.

You are responsible for obtaining professional advice when needed.

AI Disclaimer

Some RedWorks services may use artificial intelligence, machine learning, automation, large language models, or other AI-related tools.

AI outputs may be incomplete, inaccurate, biased, outdated, or unsuitable for a specific purpose.

You are responsible for reviewing, validating, and approving all AI outputs before relying on them.

AI tools should not be used as the sole basis for legal, financial, insurance, employment, medical, underwriting, eligibility, compliance, or other high-impact decisions.

RedWorks does not guarantee that AI outputs will be accurate, complete, compliant, or error-free.

AI Inputs and Outputs

You are responsible for all prompts, documents, data, files, instructions, and other materials you submit to our services ("Inputs").

Subject to these Terms and any applicable written agreement, you may use outputs generated for you by the services ("Outputs") for your internal business purposes.

RedWorks does not claim ownership of your underlying Inputs. However, we may use Inputs and Outputs as needed to provide, maintain, secure, troubleshoot, and improve the requested services, unless otherwise agreed in writing.

You understand that AI-generated Outputs may be similar or identical to outputs generated for other users.

User Responsibilities

You agree not to:

  • Use our services for unlawful, deceptive, harmful, or abusive purposes
  • Upload files or data you do not have permission to use
  • Upload malware, viruses, harmful code, illegal content, or infringing materials
  • Attempt to reverse engineer, disrupt, overload, scrape, or misuse our systems
  • Bypass security, usage limits, rate limits, payment systems, or access controls
  • Use our services to violate third-party rights
  • Misrepresent information provided to us
  • Use our services for high-risk decisions without proper human review
  • Use our services to generate illegal, discriminatory, harmful, or fraudulent content
  • Use our services to make automated decisions about people without appropriate human review and legal compliance

You are responsible for the accuracy, legality, and quality of any information, data, files, or instructions you provide.

Uploaded Files and Client Data

If you upload, submit, or send documents, PDFs, data, or other materials, you grant RedWorks permission to use those materials solely to provide, maintain, secure, troubleshoot, and improve the requested services.

You represent that you have the legal right to provide those materials.

You should not submit highly sensitive information unless necessary and unless appropriate safeguards have been agreed in writing.

RedWorks may delete uploaded files, temporary files, logs, or generated materials at any time unless retention is required by law or agreed in writing.

You are responsible for maintaining your own copies and backups of important files, documents, reports, and data.

Confidentiality

If either party receives non-public business, technical, financial, client, or operational information from the other party, the receiving party agrees to use reasonable care to protect that information and to use it only for the purpose of providing or receiving the services.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.

Accounts and Access

Some services may require an account, login, API key, third-party platform access, or authorized integration.

You are responsible for keeping your account credentials secure.

You are responsible for activity that occurs through your account, systems, API keys, integrations, or third-party platforms.

You must promptly notify RedWorks of any unauthorized access or suspected security issue.

Third-Party Services

RedWorks may use third-party platforms, including AI providers, hosting providers, analytics tools, payment processors, email services, APIs, databases, workflow tools, automation platforms, and other vendors.

We are not responsible for third-party outages, pricing changes, policy changes, data loss, discontinued services, model behavior, security incidents, or service limitations outside our control.

Your use of third-party services may also be governed by their own terms, policies, and privacy notices.

Payments

Fees for paid services will be stated in a proposal, invoice, checkout page, subscription plan, Statement of Work, or other written agreement.

Unless otherwise stated:

  • Fees are due before work begins or by the invoice due date
  • Payments are non-refundable once work begins
  • RedWorks may pause or stop work for late payment
  • Third-party software, API, hosting, subscription, domain, data, or platform costs are your responsibility unless stated otherwise
  • You authorize RedWorks or its payment processor to charge your selected payment method for applicable fees

Subscriptions and Auto-Renewals

If you purchase a subscription, your subscription may automatically renew unless canceled before the renewal date.

Subscription terms, billing intervals, features, usage limits, and renewal terms will be shown at checkout, in your account, in an invoice, or in another written agreement.

You are responsible for canceling before the next billing period if you do not want to renew.

RedWorks may change subscription pricing, features, or usage limits with reasonable notice, unless a separate written agreement states otherwise.

Usage Limits

Some services may include usage limits, including limits on users, uploads, storage, API calls, credits, tokens, reports, automations, or processing volume.

RedWorks may throttle, suspend, or charge additional fees for usage that exceeds plan limits, creates security risk, causes excessive system load, or violates these Terms.

Cancellations

Cancellation terms may be stated in a separate agreement, proposal, checkout page, subscription plan, or Statement of Work.

If no separate cancellation terms apply, you are responsible for payment for work completed, approved expenses, and non-cancelable third-party costs.

Canceling a subscription may stop future billing but does not automatically refund past payments.

Chargebacks and Payment Disputes

If you believe there is a billing error, contact RedWorks first so we can try to resolve the issue.

Improper chargebacks or payment disputes may result in suspension or termination of services.

You remain responsible for undisputed amounts, completed work, and non-cancelable third-party costs.

Refunds

Unless otherwise stated in a written agreement, payments are non-refundable once work begins or once digital services, software access, reports, AI outputs, or other deliverables have been provided.

RedWorks may offer refunds, credits, or partial refunds at its sole discretion.

Intellectual Property

RedWorks owns its pre-existing tools, templates, software, code, workflows, prompts, methods, processes, know-how, documentation, training materials, and reusable components.

Unless otherwise agreed in writing, you may not copy, resell, reverse engineer, redistribute, sublicense, or commercially exploit RedWorks materials.

For custom client work, ownership will be handled by the applicable Client Services Agreement or Statement of Work.

Feedback

If you provide suggestions, ideas, comments, improvements, or feedback, RedWorks may use them without restriction or compensation.

You agree that feedback does not create any ownership, royalty, or payment obligation.

Website Content

All website content, including text, graphics, logos, designs, layouts, visuals, materials, and other content, is owned by RedWorks or its licensors.

You may not copy or reuse website content without permission, except for normal personal or internal business review.

Beta Features and Experimental Tools

RedWorks may offer beta, test, early-access, or experimental features.

These features may be changed, limited, suspended, discontinued, or removed at any time.

Beta and experimental tools are provided "as is" and may contain bugs, errors, incomplete functionality, or inaccurate outputs.

Accessibility

RedWorks aims to make its website and services reasonably accessible. If you experience difficulty accessing any part of our website or services, contact us at redworksgoodconsultation@gmail.com or through our contact form so we can review the issue.

Accessibility improvements may depend on third-party platforms, user devices, browsers, assistive technologies, and technical limitations.

No Guarantee of Results

RedWorks does not guarantee specific business outcomes, cost savings, revenue increases, automation performance, AI accuracy, compliance results, sales results, lead generation, uptime, or uninterrupted service.

Results depend on many factors outside our control, including client systems, data quality, third-party platforms, user behavior, industry conditions, and business decisions.

Warranties Disclaimer

Our website and services are provided "as is" and "as available" unless otherwise stated in a signed written agreement.

To the fullest extent allowed by law, RedWorks disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, uptime, security, availability, and non-infringement.

Limitation of Liability

To the fullest extent allowed by law, RedWorks shall not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, including loss of revenue, loss of data, business interruption, reputational harm, lost opportunities, or cost of replacement services.

Unless otherwise stated in a signed written agreement, RedWorks' total liability shall not exceed the amount you paid to RedWorks for the service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless RedWorks from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Your use of the services
  • Your data, files, Inputs, Outputs, or materials
  • Your violation of these Terms
  • Your violation of law
  • Your misuse of AI outputs
  • Your infringement of third-party rights
  • Business decisions you make based on the services
  • Unauthorized access caused by your systems, credentials, users, or integrations

Privacy

Your use of our website and services is also governed by our Privacy Policy.

By using our website or services, you acknowledge that RedWorks may collect, use, process, and share information as described in the Privacy Policy.

Data Security

RedWorks uses reasonable administrative, technical, and organizational safeguards designed to protect information.

However, no website, software system, AI tool, storage system, or internet transmission is completely secure.

You are responsible for using appropriate safeguards on your own systems, accounts, files, and integrations.

Data Retention and Deletion

RedWorks may retain files, records, communications, logs, invoices, and service data as needed for business, legal, security, tax, compliance, backup, and operational purposes.

You may request deletion of certain data by contacting us, but we may retain information where legally required, contractually permitted, technically necessary, or reasonably needed for legitimate business purposes.

Changes to Services

We may modify, suspend, or discontinue parts of our website or services at any time.

We are not liable for changes caused by third-party tools, vendors, APIs, platforms, laws, regulations, technical issues, or business needs.

Termination

We may suspend or terminate access to our services if you violate these Terms, fail to pay, misuse our services, create security risks, request unlawful work, infringe third-party rights, or use the services in a way that may expose RedWorks or others to liability.

After termination, provisions that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and dispute terms.

Intellectual Property Complaints

If you believe content on our website or services infringes your intellectual property rights, contact us at redworksgoodconsultation@gmail.com or through our contact form with enough detail for us to review the issue.

RedWorks may remove or disable access to allegedly infringing content at its discretion.

Force Majeure

RedWorks is not responsible for delay or failure to perform caused by events outside our reasonable control, including natural disasters, power outages, internet failures, labor disputes, cyberattacks, vendor outages, API failures, payment processor issues, government actions, war, terrorism, emergencies, or other events beyond our control.

Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

Disputes

Before filing a legal claim, the parties agree to try to resolve disputes informally and in good faith.

Any legal action shall be brought in the state or federal courts located in Wisconsin, unless another venue is required by law.

You agree to bring any claim individually and not as part of a class, consolidated, or representative action, to the extent allowed by law.

Electronic Communications

You agree that electronic communications, agreements, notices, disclosures, and signatures may satisfy legal writing and signature requirements.

Assignment

You may not assign or transfer these Terms without RedWorks' prior written consent.

RedWorks may assign these Terms in connection with a merger, acquisition, sale of assets, restructuring, or transfer of business operations.

Severability

If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect.

The invalid or unenforceable provision will be interpreted as closely as possible to its original intent.

Entire Agreement

These Terms, together with any applicable Privacy Policy, Accessibility Statement, Client Services Agreement, Statement of Work, proposal, invoice, subscription terms, or written agreement, make up the entire agreement between you and RedWorks regarding the services.

Changes to These Terms

RedWorks may update these Terms from time to time.

The updated version will be posted with a new effective date. Continued use of the website or services after updates means you accept the revised Terms.
